Seventh Elevation LLC Creator Program Agreement

These Terms of Service ("Agreement") govern participation in the Seventh Elevation LLC Creator Program ("Program") operated by Seventh Elevation LLC ("Seventh Elevation," "Company," "we," "us," or "our"). By submitting any image, artwork, design, graphic, or other creative content (collectively, "Creations") to Seventh Elevation for review or sale, you ("Creator," "you," or "your") agree to be legally bound by this Agreement.

1. Program Overview

The Seventh Elevation LLC Creator Program allows individuals to submit Creations for potential purchase by Seventh Elevation. Participation in the Program is open to all individuals; however, submission does not guarantee acceptance or purchase of any Creation.

Seventh Elevation reserves the sole and absolute discretion to determine which Creations, if any, it elects to purchase based on its internal standards, business needs, branding guidelines, quality control criteria, and any other factors deemed relevant by the Company.

2. Eligibility

• You must be at least 18 years old or the age of majority in your jurisdiction.
• You must have full legal authority to enter into this Agreement.
• You must be the sole and exclusive owner of the Creation submitted, unless otherwise disclosed and contractually authorized.
• Seventh Elevation reserves the right to reject participation from any individual at its sole discretion.

3. Submission and Review

• Submission of a Creation does not constitute acceptance or purchase.
• Seventh Elevation may review, evaluate, modify, test, or internally use submitted Creations for evaluation purposes without obligation.
• The Company is under no obligation to provide feedback, reasoning, or explanation for acceptance or rejection decisions.

4. Purchase and Transfer of Rights

If Seventh Elevation elects to purchase a Creation:

4.1 Full Assignment of Rights

Upon payment, you irrevocably assign, transfer, and convey to Seventh Elevation LLC all worldwide right, title, and interest in and to the Creation, including but not limited to:

• All copyrights
• All intellectual property rights
• All derivative rights
• All reproduction, distribution, display, licensing, and commercial rights
• Any and all moral rights (to the maximum extent permitted by law)

4.2 Waiver of Rights

Upon sale, you waive any and all claims of ownership, attribution, control, approval rights, or compensation related to the Creation.

4.3 No Continued Use

After completion of payment, you may not reproduce, distribute, display, sell, license, modify, or otherwise use the Creation in any manner unless expressly authorized in writing by Seventh Elevation.

4.4 Work Made for Hire Intent

To the extent permitted by law, the parties agree the Creation shall be deemed a "work made for hire." If it does not qualify as such, this section serves as a full assignment of rights.

5. Payment Terms

• Payment will be issued only after Seventh Elevation formally approves the Creation for purchase.
• Payment may take 1–3 business days after approval to process.
• Payment timing may vary due to banking systems, payment processors, compliance reviews, or force majeure events.
• Seventh Elevation is not responsible for delays caused by third-party financial institutions.
• You are solely responsible for providing accurate payment information.
• No additional royalties, residuals, revenue shares, or future compensation will be owed unless explicitly agreed to in writing.

6. Representations and Warranties

By submitting a Creation, you represent and warrant that:

• You are the sole creator and owner of the Creation.
• The Creation does not infringe upon any third-party rights, including copyrights, trademarks, trade secrets, or publicity rights.
• The Creation does not contain unlawful, defamatory, obscene, or infringing content.
• The Creation was not generated or derived in violation of any third-party platform's terms.
• You have secured any necessary model releases, property releases, or licenses.
• The Company may rely on these representations.

7. Indemnification

You agree to defend, indemnify, and hold harmless Seventh Elevation LLC, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Breach of this Agreement
• Intellectual property infringement claims
• Misrepresentation of ownership
• Violation of applicable laws

8. Discretion and No Obligation

Seventh Elevation:

• Is not obligated to purchase any submitted Creation.
• May reject any submission without explanation.
• May modify, suspend, or terminate the Program at any time.
• May change internal evaluation criteria at its sole discretion.

Nothing in this Agreement obligates Seventh Elevation to enter into future transactions.

9. Limitation of Liability

To the maximum extent permitted by law:

• Seventh Elevation shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• The Company's total liability under this Agreement shall not exceed the amount actually paid to you for the applicable Creation.
• The Company is not responsible for lost profits, lost opportunities, or speculative damages.

10. Confidentiality

Any non-public information regarding Seventh Elevation's business practices, evaluation process, pricing structures, or internal criteria is confidential. You agree not to disclose such information without prior written consent.

11. Taxes

You are solely responsible for all federal, state, local, or international taxes associated with payments received under this Agreement. Seventh Elevation may issue tax documentation as required by law.

12. Termination

Seventh Elevation may terminate your participation in the Program at any time, with or without cause. Termination does not affect rights already transferred upon completed purchases.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Texas.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Seventh Elevation LLC regarding the Creator Program and supersedes all prior agreements, communications, or understandings.

15. Amendments

Seventh Elevation reserves the right to modify these Terms at any time. Continued participation in the Program after changes are posted constitutes acceptance of the updated Terms.

16. Acknowledgment

By submitting a Creation to Seventh Elevation LLC, you acknowledge that you have read, understood, and agreed to these Terms of Service and that you fully understand you are permanently transferring ownership rights upon payment.
